Terms of Service

1. Acceptance of these terms

These Terms of Service ("Terms") form a binding agreement between you and Nestafar Technologies Private Limited, a company incorporated in India (CIN: U79110KA2024PTC190444) and the operator of the Meridian platform ("Nestafar", "Meridian", "we", "us"), and govern your access to and use of the Meridian platform, websites, applications, and related services (collectively, the "Service"). By creating an account, accessing, or using the Service, you agree to be bound by these Terms. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization, and "you" refers to that organization.

If you do not agree to these Terms, you may not use the Service.

2. Accounts and eligibility

To use most features you must register for an account and provide accurate, current, and complete information. You are responsible for safeguarding your credentials and for all activity that occurs under your account. You must be at least the age of majority in your jurisdiction to use the Service. Notify us promptly of any unauthorized use of your account.

3. Acceptable use

You agree not to, and not to permit others to:

  • use the Service for any unlawful, infringing, or fraudulent purpose;
  • upload or process content you do not have the right to use, or that violates the rights of others;
  • attempt to reverse engineer, scrape, or circumvent any security or rate-limiting mechanism of the Service;
  • interfere with or disrupt the integrity or performance of the Service, or attempt to gain unauthorized access to it;
  • resell, sublicense, or use the Service to build a competing product; or
  • use the Service to generate or distribute malware, spam, or unlawful content.

We may suspend or limit access that we reasonably believe violates these Terms or threatens the Service or other users.

4. Your content and intellectual property

You retain all rights in the data, code, and materials you submit to the Service ("Your Content"). You grant Meridian a worldwide, non-exclusive license to host, process, and display Your Content solely to provide and improve the Service for you. We do not claim ownership of Your Content, and we do not use it to train shared models for other customers except as described in our Privacy Policy.

The Service itself, including its software, models, designs, and trademarks, is owned by Nestafar or its licensors and is protected by intellectual-property laws. Except for the rights expressly granted to you, we reserve all rights in the Service.

5. Credits, plans, and billing

Meridian features are powered by credits. You can obtain credits two ways:

  • Monthly subscriptions, billed in advance and auto-renewing until cancelled. Builder-mode plans are Ideator (USD 20/mo), Founder (USD 40/mo) and Entrepreneur (USD 50/mo); enterprise-mode plans are Starter (USD 99/mo), Growth (USD 150/mo) and Scale (USD 199/mo). Each plan grants a monthly credit allotment.
  • Top-up credit packs, a one-time pay-as-you-go purchase that adds credits to your balance immediately.

Transparent pricing. The credits you receive are computed transparently: for subscriptions, plan price × USD→INR conversion rate × INR→credit exchange rate × a 1.25 platform-cost factor; for top-ups, the same formula without the 1.25 factor. The applicable rate and exact credit amount are shown before you confirm any purchase. Prices are displayed in your organization's currency (INR or USD); Indian customers are charged in INR via Razorpay.

You may cancel a subscription at any time, and you may request a refund of unused credits, as described in our Cancellation & Refund Policy. Credits already consumed are non-refundable because the underlying compute has been used. You authorize us and our payment processors to charge your selected payment method for amounts due, and you are responsible for any taxes other than taxes on our net income.

6. Third-party services and integrations

The Service may interoperate with third-party services you choose to connect, such as source-code hosting or project-management tools. Your use of those services is governed by their own terms, and we are not responsible for them. You are responsible for the permissions you grant when connecting an integration.

7. Disclaimers

The Service is provided "as is" and "as available", without warranties of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, and non-infringement. Meridian produces estimates, forecasts, and recommendations — including expected commercial value, viability dates, and validation signals — that are probabilistic and for informational purposes only. They are not financial, legal, or investment advice, and we do not warrant that they will be accurate or that any outcome will be achieved. You are responsible for your own business decisions.

8. Limitation of liability

To the maximum extent permitted by law, Nestafar and its affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or related to your use of the Service. Our total liability for any claim relating to the Service will not exceed the greater of the amounts you paid to Nestafar in the twelve months preceding the claim, or one hundred U.S. dollars (USD 100).

9. Termination

You may stop using the Service and close your account at any time. We may suspend or terminate your access if you breach these Terms, if required by law, or to protect the Service or other users. Upon termination, your right to use the Service ceases. We will make Your Content available for export for a reasonable period where practicable, after which we may delete it in accordance with our retention practices. Sections that by their nature should survive termination will survive.

10. Governing law and disputes

These Terms are governed by the laws of India, without regard to its conflict-of-laws rules. The courts at Bengaluru, Karnataka, India will have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Service, and you consent to their jurisdiction and venue.

11. Changes to these terms

We may update these Terms from time to time. If we make material changes, we will provide reasonable notice, for example by posting the updated Terms with a new effective date or by notifying you in the Service. Your continued use of the Service after the changes take effect constitutes acceptance of the revised Terms.
